Welcome to QRCash. These Terms of Service ("Terms") govern your access to and use of the QRCash platform, website, software, APIs, and related services (collectively, the "Services"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

These Terms apply to all users of the platform, including Account Managers (businesses creating and funding campaigns), Vendors (retailers accepting coupons), and Customers (individuals redeeming coupons).

1. About QRCash

QRCash is a digital coupon marketing and payment facilitation platform that enables businesses to create QR code coupon campaigns and distribute them to consumers for redemption at participating vendors. QRCash operates solely as a technology platform and marketplace facilitator. QRCash does not sell products, issue cash, or act as a bank, money transmitter, or financial institution.

2. Eligibility

You must be at least 18 years old and legally capable of entering into binding agreements to use the Services. If you use the Services on behalf of a business or organization, you represent and warrant that you have authority to bind that entity to these Terms.

3. Account Registration

To use certain features of the Services, users must create an account. You agree to provide accurate and complete information, maintain and promptly update account information, keep login credentials secure, and notify QRCash immediately of unauthorized access or suspected security breaches. You are responsible for all activity occurring under your account. QRCash reserves the right to suspend or terminate accounts containing false, misleading, or incomplete information.

4. Account Manager Obligations

Account Managers are businesses that create and fund coupon campaigns. As an Account Manager, you agree to maintain sufficient wallet funds for active campaigns, use the Services only for lawful business purposes, ensure all campaign offers are truthful and comply with applicable advertising laws, honor all valid coupon redemptions, and comply with all applicable federal, state, and local laws. Account Managers are solely responsible for campaign content, offer terms, product pricing, customer interactions, and taxes related to their business activities. Cannabis-related businesses must comply with all applicable local, state, and federal laws. QRCash reserves the right to restrict or terminate cannabis-related accounts if legal or compliance risks arise.

5. Vendor Obligations

Vendors are businesses or retail locations that accept QRCash coupons. Vendors agree to redeem valid coupons in good faith, connect a valid Stripe Connect payout account, maintain accurate banking and payout information, and not attempt duplicate scans or fraudulent redemptions. QRCash may suspend vendor access if fraudulent, abusive, or suspicious redemption activity is detected.

6. Customer Obligations

Customers receiving QR code coupons agree that coupons are for lawful personal use only, may only be redeemed once unless otherwise stated, and QR codes may not be duplicated, sold, transferred, or altered. QRCash reserves the right to invalidate coupons suspected of fraud, duplication, abuse, or unauthorized distribution.

7. Wallets, Escrow, and Payments

Account Managers may load funds into a digital wallet using payment methods processed through Stripe. Funds associated with active campaigns are held in a reserved campaign balance until redeemed by a customer or expired according to campaign settings. Unused campaign balances from expired campaigns are automatically returned to the Account Manager's wallet balance. QRCash does not guarantee uninterrupted payment processing availability and is not responsible for delays caused by banks, payment processors, or third parties.

8. Subscription and Billing

Account Managers are charged a monthly subscription fee of $19 USD and a 3% platform fee on wallet top-ups. Subscriptions automatically renew monthly unless canceled before the renewal date. Failure to pay subscription fees may result in suspension of campaigns, restricted wallet access, or account termination. All fees are non-refundable unless required by law.

9. Free Trial

New Account Managers may receive a 7-day free trial with a maximum campaign spend limit of $20 USD. QRCash reserves the right to modify, revoke, or terminate free trial access at any time. Abuse of trial accounts, including creation of multiple accounts to avoid fees, is prohibited.

10. Vendor Payouts

Vendors may choose standard payouts (typically 2–3 business days, no fee) or instant payouts (typically within minutes, subject to a 1% fee). Actual payout timing depends on Stripe, banking institutions, and eligibility requirements. QRCash does not control payout processing times and is not liable for delays.

11. Coupon Campaign Rules

Each QR coupon is uniquely generated, intended for one-time redemption only, and may expire according to campaign settings. Walk-in redemptions may be limited to one redemption per device per campaign per day. QRCash reserves the right to cancel campaigns, block suspicious redemption activity, limit redemption attempts, and reverse fraudulent transactions.

12. Prohibited Uses

Users may not use the Services for unlawful purposes, commit fraud or deceptive practices, attempt unauthorized access to the platform, interfere with platform operations, distribute malware or malicious code, create duplicate or fake accounts, manipulate redemption systems, violate intellectual property rights, or use QRCash in violation of advertising or consumer protection laws. QRCash may investigate and take legal action against prohibited activity.

13. Intellectual Property

All software, branding, trademarks, logos, designs, and platform content are owned by QRCash or its licensors. Users receive a limited, non-exclusive, non-transferable license to use the Services solely for authorized purposes. No user may copy, reverse engineer, resell, or exploit any part of the Services without prior written permission.

14. Third-Party Services

The Services rely on third-party providers including Stripe, Supabase, Vercel, and Resend. QRCash is not responsible for outages, failures, or actions caused by third-party services. Use of third-party services may also be subject to those providers' terms and policies.

15. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." QRCash disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and availability or uninterrupted access. QRCash does not guarantee campaign performance, customer engagement, redemption rates, revenue generation, or error-free operation.

16. Limitation of Liability

To the maximum extent permitted by law, QRCash and its affiliates, officers, employees, and contractors shall not be liable for indirect damages, consequential damages, lost profits, lost revenue, loss of data, or business interruption. QRCash's total liability arising from the Services shall not exceed the total fees paid by the user to QRCash during the 12 months preceding the claim.

17. Indemnification

You agree to indemnify and hold harmless QRCash and its affiliates from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your violation of these Terms, your violation of applicable laws, or your content, campaigns, or business practices.

18. Termination

QRCash may suspend or terminate access to the Services at any time for violations of these Terms, fraudulent activity, compliance or legal concerns, or non-payment. Users may stop using the Services at any time. Termination does not eliminate outstanding payment obligations.

19. Governing Law

These Terms shall be governed by and construed under the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in California.

20. Changes to These Terms

QRCash may modify these Terms at any time. Updated Terms become effective upon posting to the website. Continued use of the Services after changes constitutes acceptance of the updated Terms.
